01 "An Act relating to limited liability companies."                                                                       
02 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF ALASKA:                                                                
03    * Section 1. AS 10.50.010 is amended to read:                                                                      
04            Sec. 10.50.010. Authorized purposes. A limited liability company may be                                    
05       organized under this chapter for any lawful purpose, including the rendering of a                             
06       professional service.                                                                                         
07    * Sec. 2. AS 10.50.150(c) is amended to read:                                                                      
08            (c)  Notwithstanding (a) and (b) of this section, and unless otherwise provided                          
09       [ANOTHER LEVEL OF MEMBER CONSENT IS REQUIRED] in an operating                                                     
10       agreement of the company or in the company's articles of organization, the written                            
11       consent of all of the members of a limited liability company is required to                                       
12                 (1)  amend the articles of organization;                                                                
13                 (2)  amend an operating agreement of the company; or                                                    
14                 (3)  authorize a manager or member to perform an act on behalf of the                                   
15       company that contravenes an operating agreement of the company, including an act                                  

01       that contravenes a provision of the operating agreement that expressly limits the                                 
02       purposes, affairs, or conduct of the affairs of the company.                                                      
03    * Sec. 3. AS 10.50.990 is amended by adding a new paragraph to read:                                               
04                 (18)  "professional service" has the meaning given in AS 10.45.500.                                     
05    * Sec. 4. AS 10.50.150(d) is repealed.
